Chairman's Sudden Exit

HDFC Bank announced on Wednesday the resignation of its chairman, Atanu Chakraborty. His resignation was effective immediately, based on a letter submitted to the board on March 17.

The letter cited "certain happenings and practices within the bank" as being "not in congruence" with his personal values and ethics. Chakraborty joined the board in May 2021.

Ethical Concerns Detailed

In his resignation letter, addressed to the chairman of the bank's governance, nomination and remuneration committee, Chakraborty elaborated on his decision. He stated his observations of developments conflicting with his personal values over the past two years.

"Certain happenings and practices within the bank, that I have observed over last two years, are not in congruence with my personal values and ethics,"

HDFC Bank confirmed that the reasons stated in Chakraborty's letter were the only reasons for his departure.

Interim Chairman Appointed

The Reserve Bank of India (RBI) has approved the appointment of Keki Mistry as interim part-time chairman. Mistry, a board member and HDFC group veteran, will serve for three months starting March 19.

This move ensures stability in leadership while the bank searches for a permanent replacement.

Chakraborty's Tenure

During his time on the board, Atanu Chakraborty oversaw the landmark merger with HDFC Ltd. This merger created one of the world’s largest financial conglomerates.

He described the merger as a "momentous event" that made HDFC Bank the largest bank in the country. However, he noted that the full benefits of the integration were yet to be realised.

Gratitude Expressed

Chakraborty thanked fellow board members and senior management for their dedication and professionalism during his tenure.

What to Watch Next

The market will be closely watching how HDFC Bank addresses the ethical concerns raised by Chakraborty's resignation. The search for a permanent chairman and the integration of HDFC Ltd will also be key areas of focus.
