Coca-Cola India bottler files for IPO
Hindustan Coca-Cola Holdings files draft IPO papers with SEBI for a major share sale. Listing expected on BSE and NSE by 2027.

The Cliff News | 7 November 2026
Hindustan Coca-Cola Holdings Limited (HCCH), the parent entity of Coca-Cola's Indian bottling operations, has officially submitted its draft red herring prospectus (DRHP) to the Securities and Exchange Board of India (SEBI). This marks a significant step towards the company's proposed initial public offering (IPO), filed on Friday, November 6.
The impending IPO is structured entirely as an offer for sale (OFS), involving the divestment of up to 997,461,456 equity shares, each with a face value of Rs 10. These shares are held by Hindustan Coca-Cola Overseas Holdings Pte Ltd. The company intends for its shares to be listed on both the BSE and NSE, with the proposed listing timeframe set for 2027.
IPO Details and Market Outlook
Moneycontrol had previously reported last week that the company was on track to file its DRHP this week, a prediction now confirmed by the official filing. John Murphy, president and chief financial officer of The Coca-Cola Company, had stated last month, “As previously announced, we are exploring a potential IPO of our bottling operations in India and will provide further updates as appropriate.”
India represents the fifth-largest market for the Atlanta-headquartered beverage giant and is projected to ascend to its third-largest global market in the coming years. This strategic move underscores Coca-Cola's commitment to its expanding Indian presence.
Financial Performance and Strategic Reorientation
For the three-month period concluding June 30, 2026, the bottler demonstrated robust growth. Revenue from operations saw a notable 20.46% increase, reaching Rs 4,310.17 crore, while total sales volume climbed by 18.61%. Furthermore, the company's EBITDA margin, excluding other income and exceptional items, improved significantly to 17.20% from 13.76% in the corresponding period last year.
HCCH operates primarily through its subsidiary, HCCB, focusing on the southern and western regions of India. The company recently welcomed a strategic partnership in 2025 when Jubilant Beverages acquired a 40% stake. HCCH currently retains a majority stake of 60% but will subsequently reduce its holding to 45% following the IPO.
Growth Potential in Key Markets
According to the DRHP, the key operational states boast a combined population of approximately 616.9 million. These regions encompass five of India’s eight largest metropolitan cities and exhibit a GDP per capita approximately 1.5 times the national average.
The non-alcoholic ready-to-drink (NARTD) beverage market within these states was valued at Rs 637.3 billion in FY26 and is forecasted to expand to Rs 1,183.2 billion by FY31, reflecting a compound annual growth rate (CAGR) of 13.17%.
Distribution and Portfolio Optimisation
The company has recently embarked on a strategic reorientation aimed at enhancing its market position. This includes efforts to deepen distribution networks, expand its product portfolio, and optimise package-price architecture to address existing portfolio gaps, as detailed in the DRHP.
A consortium of leading financial institutions will serve as the book-running lead managers for the IPO. These include Kotak Mahindra Capital Company Limited, Citigroup Global Markets India Private Limited, J.P. Morgan India Private Limited, Morgan Stanley India Company Private Limited, Axis Capital Limited, Goldman Sachs (India) Securities Private Limited, and IIFL Capital Services Limited.
