Global private equity giant Blackstone is set to become the largest shareholder in India’s Federal Bank, agreeing to invest approximately $705 million for a 9.9% stake, the lender confirmed on Friday.
The transaction underscores growing investor interest in India’s private banking sector, which has seen a surge in marquee deals this year. Notably, Dubai’s Emirates NBD acquired a 60% stake in RBL Bank for $3 billion last week, while Japan’s Sumitomo Mitsui Banking Corporation purchased a 20% stake in Yes Bank in May, followed by an additional 4.2% in September.
Deal Structure and Governance Rights
Blackstone will make its investment via a Singapore-based affiliate, which has entered into a share-purchase agreement with Federal Bank. The agreement grants the firm the right to nominate a non-executive director to the bank’s board, reflecting a significant role in governance.
The investment will be executed through preferential equity shares and warrants. However, it remains subject to regulatory approvals from banking authorities, competition regulators, and Federal Bank’s shareholders. An extraordinary general meeting has been scheduled for November 19, during which shareholders will vote on the preferential share issuance and Blackstone’s board seat.
Following the announcement, Federal Bank’s shares rose 1.15% to ₹229 in Mumbai trading, signaling positive market sentiment.

Federal Bank, which manages a loan book of ₹2.44 trillion, reported a 9.6% decline in net profit to ₹9.55 billion for the September quarter. Analysts attribute the fall to lower treasury income and increased provisions for non-performing assets.
